These Terms of Service ("Terms") govern access to and use of the INTERTOOL Dealer Portal at dealers.intertoolusa.com (the "Portal"), operated by INTERTOOL LLC ("INTERTOOL," "we," "us," or "our"). The Portal is intended solely for business use by dealers, retailers, distributors, and other commercial accounts. By requesting an account or using the Portal, you agree to these Terms on behalf of your business. If you do not agree, do not use the Portal.
1. Account eligibility and authority
The Portal is available only to businesses. By creating or using an account, you represent and warrant that you are acting on behalf of a bona fide business, that the information you provide is accurate and complete, and that you are authorized to enter into these Terms and to place orders on behalf of that business. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
2. Account approval and pricing programs
All dealer accounts are subject to review and approval by INTERTOOL in our sole discretion. We may approve or decline any application, and we may request additional information before approving an account. Upon approval, INTERTOOL assigns your account to a pricing program (for example, Standard Dealer, Volume Buyer, Distributor, or Drop-Ship Partner). Program assignment, eligibility criteria, and any associated terms are determined by INTERTOOL and may be changed at our discretion.
3. Pricing accuracy and changes
Dealer pricing displayed in the Portal reflects your assigned program and is provided for ordering purposes. We work to keep pricing accurate, but prices, availability, case-pack quantities, and product information are subject to change without notice. In the event of a pricing or typographical error, INTERTOOL reserves the right to correct the error and to cancel or decline any order placed based on incorrect information, even after an order has been submitted.
4. Orders and acceptance
Submitting an order through the Portal constitutes an offer to purchase. All orders are subject to acceptance by INTERTOOL, and no order is binding until accepted by us. We may accept, decline, limit, or cancel any order in our discretion, including for product availability, credit, suspected error, or suspected misuse. Order quantities may be subject to minimums or other conditions noted in the Portal, including minimum order quantities on certain drop-ship items.
5. Payment terms
For approved accounts, orders are invoiced on Net 30 terms — payment is due within 30 days of the invoice date, unless other terms are agreed in writing. You are responsible for paying all amounts when due. Past-due balances may result in suspension of ordering privileges, application of late charges to the extent permitted by law, and recovery of reasonable collection costs. INTERTOOL may modify or revoke credit terms at any time based on account status or creditworthiness.
6. Shipping and freight
Standard orders are subject to the freight terms published in the Portal, including any applicable prepaid-freight minimum. For Drop-Ship Partner orders, freight is handled on either a prepaid basis (INTERTOOL arranges shipping and includes freight in the quoted price) or a collect basis (the dealer arranges its own carrier or pickup), as selected at the time of order. Title and risk of loss pass according to the applicable freight terms. Delivery dates are estimates and are not guaranteed.
7. Warranty
Products are covered by INTERTOOL's published warranty terms for the applicable product line (for example, the STORM and DIY warranties). Warranty coverage, duration, and remedies are governed solely by those published terms. Except as expressly stated in the applicable written warranty, products are provided "as is," and INTERTOOL disclaims all other warranties, express or implied, including any implied warranties of merchantability and fitness for a particular purpose, to the fullest extent permitted by law. 8. Intellectual property
The INTERTOOL name, logos, trademarks, product designs, product imagery, descriptions, the Portal, and its content are the property of INTERTOOL or its licensors and are protected by applicable law. Approved dealers are granted a limited, non-exclusive, revocable license to use INTERTOOL product images and descriptions solely to market and resell INTERTOOL products purchased through authorized channels. You may not modify INTERTOOL marks, misrepresent the products, or use our intellectual property in any way that is misleading or that implies endorsement beyond an authorized dealer relationship. All rights not expressly granted are reserved.
9. Acceptable use
You agree to use the Portal only for lawful business purposes and not to attempt to access data belonging to other accounts, interfere with the operation or security of the Portal, scrape or harvest pricing or data for competitive purposes, or use the Portal in violation of these Terms or applicable law.
10. Limitation of liability
To the fullest extent permitted by law, INTERTOOL will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, or loss of business, arising out of or relating to the Portal, these Terms, or any order, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages. INTERTOOL's total aggregate liability arising out of or relating to the Portal or any order will not exceed the amount paid by you to INTERTOOL for the specific order giving rise to the claim.
11. Termination
INTERTOOL may suspend or terminate your account or access to the Portal at any time, with or without cause, in our discretion, including for non-payment, violation of these Terms, or inactivity. You may stop using the Portal at any time. Provisions that by their nature should survive termination — including payment obligations, intellectual property, warranty disclaimers, and limitation of liability — will survive.
12. Governing law
These Terms are governed by the laws of the State of Oregon, USA, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Portal will be the state or federal courts located in Oregon, and you consent to the jurisdiction of those courts.
13. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of the Portal after an update constitutes acceptance of the revised Terms.
